Legal Counsel

Description
ANIF is seeking a Legal Counsel to join our team, responsible for handling various areas of law including foreign investment, private equity, corporate matters, contracts, trade, renewable energy, etc. The Legal Counsel will also actively contribute to policy development and engage in government relations.

Job responsibilities
• Draft and review transaction documents, memos, legal opinions, corporate documents;
• Draft corporate policies, regulations and other internal documents;
• Lead and participate in deal negotiations and executions;
• Review and monitor changes in the Armenian legislation and developments of industries that are of interest to ANIF;
• Perform legal due diligence of target companies;
• Assess legal risks related to ANIF’s and portfolio company’s activities;
• Perform other duties as assigned by the manager.

Required qualifications
• Master’s degree in law;
• At least 3 years of professional experience, preferrable with both public and private sectors;
• Excellent knowledge of civil law with an emphasis on corporate law;
• Experience working across multiple jurisdictions (both common law and civil law) is strongly desirable;
• Experience working with investment funds (contractual and corporate), familiarity with private equity investment structures;
• Ability to meet deadlines and work under pressure in a fast-paced environment;
• Strong communication skills;
• Professional ethics and integrity;
• Advocate’s license will be considered as an advantage.
• Professional fluency in Armenian and English is required. Professional fluency in Russian is strongly desirable.
